Terms of Service
1. Who we are
whoa.tools ("Whoa Tools", "we", "us") builds branded, evidence-based interactive tools for agencies and consultancies, and operates the free Whoa Audit tool on this site. These terms govern your use of this website and the Whoa Audit tool. Paid engagements are governed additionally by a separate written statement of work, which controls in the event of a conflict.
2. Whoa Audit — acceptable use
Whoa Audit fetches a public URL you submit and reports observations about the page it returns. By submitting a URL you confirm you are entitled to request an audit of that site. Do not use the tool to:
- audit sites you do not own or have permission to assess, in a manner that violates the target's terms;
- submit private, internal, or non-public endpoints (these are blocked, but the prohibition stands);
- automate high-volume requests, resell the raw output as a standalone service, or attempt to overload the tool.
The audit is a fast, first-pass signal based only on the HTML returned to our edge fetch. It is provided "as is", is not a security assessment, legal review, or performance-field measurement, and must not be relied on as the sole basis for any decision.
3. Paid tool builds
Fixed prices, deliverables, timelines and ownership are set in the statement of work for each engagement. Unless that document says otherwise: the delivered tool and the leads it generates are yours; reusable underlying components, libraries and the ToolSpec runtime remain ours.
4. Intellectual property
The Whoa Tools name, site and Whoa Audit tool are our property. You retain all rights to content you submit. You grant us a limited licence to process submitted URLs and form data solely to provide the service and, in aggregate and de-identified form, to improve it.
5. Disclaimers & liability
To the maximum extent permitted by law, we disclaim all warranties not expressly stated here, and our aggregate liability arising from your use of this website or Whoa Audit is limited to USD 100. Nothing here limits liability that cannot lawfully be limited.
6. Changes
We may update these terms; the "last updated" date reflects the current version. Material changes affecting an active paid engagement will be communicated directly.
